Terms of Service
Effective September 10, 2026
These Terms of Service ("Terms") form a legally binding agreement between you, individually or on behalf of an entity ("you" or "your"), and RESONIA, INC. ("RESONIA," "BreezeBlue," "we," "us," or "our"), governing your access to and use of our websites, applications, APIs, software, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
1. The Services
BreezeBlue is an AI-powered voice and speech generation platform that may allow users to create, edit, transform, manage, and export audio, speech, voice, and related media using text prompts, scripts, uploaded materials, reference audio, and other inputs.
The Services may change over time. We may add, modify, suspend, or discontinue features or functionality at any time, with or without notice, subject to applicable law.
2. Eligibility
You may use the Services only if:
- you are legally capable of entering into a binding agreement with us;
- you are not prohibited from using the Services under applicable law;
- you are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher; and
- if you use the Services on behalf of a company or other entity, you have authority to bind that entity to these Terms.
You may not use the Services if you are located in, organized in, or ordinarily resident in a country or territory subject to applicable trade restrictions or sanctions, or if you are otherwise prohibited from receiving the Services under applicable law.
3. Accounts
You may need to create an account to use some or all of the Services. You agree to provide accurate, current, and complete account information and to keep it updated.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must promptly notify us at contact@breezeblue.ai if you believe your account has been compromised or used without authorization.
We may suspend or terminate your account if any information you provide is inaccurate, false, outdated, incomplete, or if we reasonably believe your use of the Services violates these Terms or applicable law.
4. Acceptable Use
You agree not to use the Services, or permit others to use the Services, to:
- violate any applicable law, regulation, or third-party right;
- infringe, misappropriate, or otherwise violate intellectual property, privacy, publicity, contractual, or other rights;
- upload, generate, distribute, or promote unlawful, defamatory, harassing, abusive, hateful, sexually exploitative, or otherwise harmful content;
- create or distribute deceptive, fraudulent, or misleading content, including content designed to impersonate a real person or entity without appropriate authorization;
- clone, synthesize, simulate, or otherwise use a person's voice without all rights, consents, and permissions required by applicable law;
- create voice content intended to mislead others about a person's identity, endorsement, authorization, or actions;
- generate content for scams, fraud, phishing, social engineering, political deception, or other manipulative or abusive purposes;
- create, distribute, promote, or facilitate child sexual abuse or exploitation material, sexualize or impersonate a minor, groom a minor, or otherwise harm a child;
- create credible threats, facilitate terrorism or violent extremism, promote real-world violence, or provide instructions intended to cause serious physical harm;
- facilitate human trafficking, sexual exploitation, stalking, targeted harassment, or unlawful discrimination;
- encourage or instruct a person to engage in suicide, self-harm, or an eating disorder;
- make unauthorized automated or prerecorded calls, distribute spam, or conduct other abusive communications;
- upload or transmit malware, spyware, viruses, or other harmful code;
- interfere with, disrupt, damage, or gain unauthorized access to the Services, systems, or networks;
- scrape, crawl, harvest, copy, or extract data or content from the Services by automated means, except through authorized APIs or features we expressly provide;
- reverse engineer, decompile, disassemble, or attempt to discover source code, model weights, prompts, or underlying components of the Services, except to the extent such restriction is prohibited by applicable law;
- use the Services to build, train, benchmark, or improve a competing product or model, except as expressly authorized in writing by us;
- bypass usage limits, rate limits, account restrictions, security measures, or access controls; or
- use the Services in a way that imposes an unreasonable burden on our infrastructure.
We may investigate suspected violations of this Section and may suspend or terminate access to the Services, remove content, or take any other action we deem appropriate.
5. Your Inputs and Outputs
a. Inputs
You may provide text, scripts, prompts, audio files, reference recordings, voice samples, images, metadata, and other materials to the Services ("Inputs").
You retain any ownership rights you have in your Inputs.
b. Private Voices
A "Private Voice" is a voice profile or configuration created for your account using your Inputs. A Private Voice remains private to your account or organization and is available only through the Services. It does not include any downloadable or executable model, model weight, checkpoint, parameter, or other underlying component.
Subject to your plan and these Terms, you may use a Private Voice through the Services to generate Outputs. Creating or using a Private Voice does not grant you ownership of, or any right to access, download, extract, reverse engineer, self-host, sell, sublicense, or redistribute, our software, models, or underlying technology.
c. Outputs
The Services may generate audio, speech, text, transcripts, or other content based on your Inputs ("Outputs"). A Private Voice is not an Output.
As between you and us, and to the extent permitted by applicable law, you own your Outputs. If any rights in Outputs are deemed to vest in us, we hereby assign those rights to you, subject to these Terms.
d. Permitted Use of Outputs
Your ownership of an Output does not expand the permitted scope of use provided by these Terms.
- If you use the Services without an active paid subscription, including by using free or separately purchased credits, your Outputs may be used only for personal and non-commercial purposes.
- Outputs generated while your paid subscription is active may be used for commercial purposes, subject to these Terms, including Section 4 (Acceptable Use). This includes Outputs generated using your Private Voice or a voice available in BreezeBlue's public voice library.
- Commercial-use permission applies to Outputs only and does not grant rights in a Private Voice or our software, models, or underlying technology.
- Commercial-use permission survives cancellation or expiration of the paid subscription for eligible Outputs generated while that subscription was active.
- An export, compilation, derivative work, or other content that combines multiple Outputs is governed by the most restrictive permitted-use terms applicable to any included Output.
- Purchasing credits alone does not provide commercial-use permission or access to paid Studio features.
If we later suspend or terminate your access to the Services, that action does not by itself revoke the permitted use rights for compliant Outputs generated before suspension or termination. No rights are granted or preserved for an Input or Output that violates applicable law, third-party rights, or these Terms.
e. Important Limits
You acknowledge and agree that:
- Outputs may not be unique;
- other users may receive similar or identical outputs;
- the Services may generate inaccurate, incomplete, offensive, biased, or otherwise unexpected content;
- you are solely responsible for reviewing and evaluating Inputs and Outputs before using, publishing, distributing, or relying on them.
Your rights in Outputs do not extend to:
- the Services;
- our software, models, algorithms, prompts, interfaces, templates, or underlying technology;
- any third-party materials included in or reflected by the Outputs; or
- outputs generated for other users.
6. Your Responsibilities for Inputs
You are solely responsible for your Inputs and for your use of any Outputs. You represent and warrant that:
- you own or control all rights necessary to submit the Inputs and to authorize us to process them under these Terms;
- your Inputs, and your use of the Services and Outputs, do not violate any law or third-party right;
- if your Inputs include or imitate a person's voice, likeness, identity, or personal information, you have obtained all necessary notices, rights, and consents;
- you will not submit Inputs or use Outputs in a way that violates biometric privacy, wiretap, recording consent, consumer protection, election, advertising, or other applicable laws.
We are not responsible for Inputs submitted by users or for how users use Outputs.
7. License You Grant to Us
For the limited purpose of operating, providing, maintaining, securing, debugging, and improving the Services, you grant us and our affiliates, contractors, subprocessors, and service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify, transmit, display, and use your Inputs, Outputs, reference audio, Private Voices, and related metadata.
This license is limited to what is reasonably necessary to provide and improve the Services and to comply with applicable law, enforce our rights, and protect the Services and our users.
Subject to applicable law, unless you opt out using the controls we provide, Inputs, Outputs, reference audio, Private Voices, and related data may be used to train and improve our models and Services. Where applicable law requires prior consent, we will use such content for training or improvement only after obtaining the required consent. After an opt-out request has been processed, newly submitted data will not be used for training. Opting out does not affect processing completed before the opt-out or improvements resulting from that processing.
When customer content is used for training or improvement, we take steps designed to disassociate that content from your account or identity and remove information that could reasonably identify you. Additional information is provided in our Privacy Policy.
This license does not permit us to use your Inputs, Outputs, Private Voice, name, trademarks, or project as advertising, a testimonial, or a public case study without your separate permission. We will not sell, license, or distribute your Inputs, Outputs, or Private Voice as standalone content or assets. This does not prevent processing by service providers as necessary to provide the Services, disclosures required by law, safety and fraud-prevention activities, or processing otherwise expressly authorized by you.
8. Feedback
If you provide suggestions, ideas, comments, or other feedback regarding the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any lawful purpose, without compensation or attribution to you.
9. Intellectual Property
The Services, including all software, models, workflows, interfaces, design, compilations, trademarks, service marks, logos, documentation, and other content we provide, are owned by or licensed to RESONIA and are protected by intellectual property and other laws.
Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, transmit, sell, license, or otherwise exploit any part of the Services without our prior written permission.
"BreezeBlue," "RESONIA," and related names, logos, and branding are our trademarks or those of our licensors. You may not use them without prior written consent.
10. Paid Plans, Billing, and Credits
a. Paid Services
Some parts of the Services may require payment, subscription, prepaid credits, or usage-based fees. By purchasing a paid plan or credits, you agree to pay all applicable fees, taxes, and charges in accordance with the pricing and billing terms presented to you at the time of purchase.
b. Auto-Renewal
Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until cancelled. You authorize us and our payment processors to charge your selected payment method for recurring fees and applicable taxes.
You may cancel a subscription at any time through your account settings or by contacting us. Unless required by law, cancellation takes effect at the end of the then-current billing period, and previously paid fees are non-refundable.
c. Price Changes
We may change pricing, plans, features, or usage limits from time to time. For material changes affecting an existing paid subscription, we will use reasonable efforts to provide advance notice.
d. Credits
If we offer prepaid or promotional credits, those credits:
- are not legal tender;
- have no cash value unless required by law;
- are non-transferable, non-refundable, and not redeemable for cash;
- may expire as described at the time of issuance or in the applicable plan terms.
We may revoke credits obtained through fraud, abuse, error, or misuse.
e. Taxes
You are responsible for any applicable taxes, duties, levies, or similar governmental assessments associated with your purchases, other than taxes based on our net income.
f. Refunds
Except as required by applicable law or expressly stated otherwise, fees are non-refundable. Requests may be sent to contact@breezeblue.ai. If we approve a refund, it will generally be returned to the original payment method.
11. Third-Party Services
The Services may integrate with or rely on third-party websites, platforms, APIs, hosting providers, payment processors, model providers, or other services. We do not control and are not responsible for third-party services or their terms, practices, or availability.
Your use of any third-party service is governed by that third party's own terms and policies.
12. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and disclose information as described in the Privacy Policy.
13. Suspension and Termination
We may suspend, restrict, or terminate your access to all or any part of the Services at any time, with or without notice, if we believe:
- you have violated these Terms;
- you pose a risk to the Services, users, or third parties;
- we are required to do so by law;
- your use is fraudulent, abusive, or harmful; or
- you have failed to pay applicable fees.
You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including Sections relating to intellectual property, ownership and permitted use of Outputs, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended to survive.
We may delete your account data and content in accordance with our retention practices, subject to applicable law.
14. Modifications to the Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will post the updated Terms and provide any additional notice required by law.
By continuing to use the Services after updated Terms apply, you agree to them. If you do not agree, you must stop using the Services.
15. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICES OR OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES;
- THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
- ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR
- THE SERVICES WILL BE FREE OF HARMFUL COMPONENTS.
YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT MAY CONTAIN ERRORS, OMISSIONS, BIAS, OR OTHER LIMITATIONS, AND YOU ARE RESPONSIBLE FOR HUMAN REVIEW AND FOR ALL DECISIONS, ACTIONS, AND OMISSIONS ARISING FROM YOUR USE OF THE SERVICES OR OUTPUTS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RESONIA, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- US$100.
Some jurisdictions do not allow certain disclaimers, exclusions, or limitations of liability, so some of the above may not apply to you to the extent prohibited by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless RESONIA, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your Inputs, Outputs, or use of the Services;
- your violation of these Terms;
- your violation of any applicable law or regulation;
- your infringement or misappropriation of any third-party rights; or
- your fraud, deception, negligence, willful misconduct, or misuse of the Services.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in that defense.
18. Data Backup and Availability
You are responsible for maintaining copies of your own Inputs, Outputs, and other content. We do not guarantee that any content will be preserved, retrievable, or available for any minimum period unless expressly stated in writing.
Service interruptions, delays, and outages may occur for maintenance, upgrades, security incidents, third-party failures, or causes beyond our control.
19. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the jurisdiction in which RESONIA, INC. is organized, without regard to conflict of laws principles.
Before filing a claim, you agree to first contact us at contact@breezeblue.ai and attempt to resolve the dispute informally.
To the extent permitted by applicable law, any dispute that cannot be resolved informally will be brought exclusively in the courts located in the jurisdiction where RESONIA, INC. is organized or headquartered, and you consent to the personal jurisdiction of those courts.
If mandatory law in your jurisdiction gives you the right to bring claims in another forum, nothing in these Terms limits those rights.
20. Export Control and Compliance
You may not use, export, re-export, import, or transfer the Services except as authorized by applicable law, including export control and sanctions laws.
You represent and warrant that you are not located in, under the control of, or a national or resident of any prohibited jurisdiction, and that you are not on any applicable restricted party list.
21. Miscellaneous
These Terms, together with any policies or supplemental terms incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede any prior or contemporaneous understandings regarding the Services.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and us.
